Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Tax Season Triage website at taxseasontriage.com (the “Site”) and the application at app.taxseasontriage.com (the “App”). By accessing or using the Site or App, you agree to these Terms.

1) Eligibility and accounts

• You must be able to form a binding contract to use the service.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.

2) Subscriptions, billing, and payment

• Subscriptions are billed on a recurring basis (monthly unless stated otherwise) and processed by Stripe.
• By subscribing, you authorize recurring charges until you cancel.
• Plan limits (such as number of firm locations) apply according to your selected tier.
• If a payment fails, access may be paused until payment is successfully processed.
• Taxes may apply depending on your location and applicable law.

3) Cancellation and changes

• You can cancel at any time. Cancellation stops future billing after the current paid period.
• We may change pricing or plan features with reasonable notice, where required.
• We may add, modify, or discontinue features to improve the service, provided that core access for paid users is maintained.

4) Acceptable use

You agree not to:

• Use the service for unlawful, harmful, or fraudulent purposes.
• Attempt to gain unauthorized access to accounts, systems, or data.
• Reverse engineer, copy, or attempt to extract the source code or underlying logic beyond what the product allows.
• Transmit malware, spam, or abusive content through the Site or App.
• Use the service in a way that materially interferes with or disrupts other users or our infrastructure.

5) Client screening data and firm responsibilities

• Firms determine how they use screening results and remain responsible for engagement decisions.
• Firms are responsible for the content of their screening forms, messages, and communications to clients.
• Firms are responsible for complying with applicable privacy, consumer, and professional regulations in their jurisdiction.

6) Intellectual property

• We retain all rights to the Site, App, and associated trademarks, designs, and software.
• You retain rights to your firm’s content and data submitted into the App.
• You grant us a limited license to host, process, and display your content solely to operate the service.

7) Confidentiality

You should not upload sensitive information that you are not authorized to share. We will use reasonable efforts to protect your data as described in our Privacy Policy, but you remain responsible for what you collect and store.

8) Disclaimers

The Site and App are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted or error-free.

9) Limitation of liability

To the maximum extent permitted by law, Tax Season Triage will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the service. Our total liability for any claim will not exceed the amounts paid by you to us for the service in the 3 months preceding the event giving rise to the claim.

10) Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your content, or your violation of these Terms.

11) Termination

We may suspend or terminate access if you materially violate these Terms, misuse the service, or create risk to other users or our systems. You may stop using the service at any time.

12) Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

13) Changes to these Terms

We may update these Terms from time to time. We will revise the effective date above and may provide additional notice within the App or via email.
